Terms and Conditions of Sale and Engagement

Effective Date: 15 May 2025

These Terms and Conditions (“Terms”) apply to all transactions, engagements, and services provided by GillyBell Legacy Works, LLC (“Company,” “we,” or “us”), including but not limited to book sales, speaking engagements, workshops, training services, and related deliverables.

By making a purchase, booking an engagement, or entering into a service agreement with us, you (“Client,” “Purchaser,” or “Customer”) agree to the following terms:

• All invoices are due within 15 calendar days (Net 15) of the invoice date unless otherwise specified in writing.
• Late payments may be subject to a 2% monthly finance charge or the maximum allowed by law.
• We reserve the right to cancel or delay delivery of services or products for overdue accounts.
• Accepted forms of payment include credit card, PayPal, Square, ACH, check, Zelle, or other methods as agreed upon.

• Applicable sales tax will be added to all taxable goods and services unless a valid resale certificate or exemption documentation is provided. 
• Speaking engagements are generally not subject to sales tax. Book sales may be subject to tax depending on the delivery location and method of sale.

• Physical products (such as books) will be shipped via USPS, UPS, or another carrier unless otherwise arranged.
• Shipping costs, if applicable, will be added to the invoice and must be paid in full.
• Delivery timelines are estimates only and not guaranteed.

• Speaking Engagements & Workshops: A 50% non-refundable deposit is required to secure the event date. Cancellation less than 14 days prior to the scheduled engagement will result in full payment due, unless otherwise agreed.
• Books and Merchandise: All sales are final unless the item arrives defective or damaged. Replacement requests must be submitted within 7 days of receipt.
• Refunds or credits for digital downloads, training materials, or event content will not be issued once accessed.

• We understand that life happens. If something unexpected affects your ability to move forward with a scheduled service, we’ll work with you to reschedule in good faith.
• Likewise, if circumstances beyond our control—such as illness, natural disasters, emergencies, or technical failures—prevent us from delivering a service on time, we’ll make every reasonable effort to reschedule or adjust the delivery as soon as possible. Neither party will be held liable for delays caused by these kinds of events.

• All materials, presentations, and branded content provided are the intellectual property of GillyBell Legacy Works, LLC unless otherwise noted.
• No content may be used, reproduced, distributed, or modified without prior written permission, except where specifically marked as shareable or public.

• Unless explicitly prohibited in writing, we reserve the right to document and share general photos, testimonials, or recordings from public-facing events for promotional purposes.
• By participating in an event, you consent to the use of your image, likeness, and voice unless otherwise requested in advance.

• GillyBell Legacy Works, LLC is not liable for any indirect, incidental, or consequential damages arising from use of its products or services.
• Total liability shall not exceed the total amount paid by the Client for the specific service or product in question.

• These Terms are governed by the laws of the State of Florida.
• Any disputes shall be handled in the courts of Hernando County, Florida.

• We reserve the right to update these Terms at any time. The latest version will be available on our website or upon request.
• If any part of these Terms is found unenforceable, the remaining provisions will remain in effect.
